Member Terms and Conditions

As a registered member of Elite Global Access, LLC (“EGA”) you are bound by the terms and conditions of membership set out in the Membership Agreement when registering for membership with EGA, as well as the following Terms and Conditions, which are applicable to each and all transactions made by, through or with the assistance of EGA. Your membership agreement and these Terms and Conditions are intended to be read together and as consistent with one another.

APPLICATION FOR MEMBERSHIP

Verification: Membership in EGA is conditioned upon the completion of a written application, review thereof and approval by EGA. By completing an application for membership in EGA, you are certifying that all information contained in such application is true and correct to the best of your knowledge. Failure to provide complete, true or accurate information may serve as grounds for denial of your application, invalidation of your membership or of any pending transaction. All information contained in the application is subject to verification by EGA and your cooperation is mandatory in assisting EGA to confirm the accuracy of any representation contained in your application. EGA reserves the right to deny membership to any applicant and may do so without comment or explanation. EGA will notify you in writing that your membership has been accepted.

Eligibility: The Services and the Site are available to individuals or entities who can form legally binging contracts under applicable law and who are employees, members, or affiliates of entities that have entered into a services agreement with Elite Global Access, LLC or one of its distributors. Without the foregoing, the Services and the Site are not available to individuals under the age of eighteen (18). By using the Services or the Site, you warrant that you are at least eighteen (18) years of age or older. If you do not qualify, you may neither use the Services nor the Site. For special promotions, this age requirement may require that users of this site be (21) years of age or older. Please refer to the special promotions portion of this agreement to investigate this matter further.

Privacy: Elite Global Access, LLC knows how important privacy is to you and is committed to honoring your privacy. Please refer to our Privacy Policy for greater detail. In order to ensure that EGA is able to provide high quality services that are responsive to customer needs, EGA employees may need to access your accounts and records on a case by case basis to investigate complaints or other allegations or abuse. EGA shall not disclose the existence or occurrence of such an investigation unless required by law. The information you provide is the information that we will be capable of accessing.

Continuing Obligation: You are under a continuing obligation to provide updated and accurate information to EGA concerning the information disclosed by your application for membership. The accuracy of such information is a material inducement for EGA's entry into the membership agreement with you.

Confidentiality Of Application: All information contained in the application shall be maintained as confidential by EGA, except as may be disclosed or used pursuant to EGA's Privacy Policy, or as is required by law or legal process. In the event that information contained in any membership application is requested or compelled for production by any legal order, subpoena or process, EGA shall promptly notify you of any such request and with as much reasonable notice as is possible to allow you to take such measures as you deem adequate to object to or aid in such production.

MEMBERSHIP

Elite and Elite Choice Membership: All memberships in EGA are issued to you, individually. All transactions carried out under your membership are for you and your personal benefit only. You are solely and exclusively responsible for ensuring that no one other than you (or your personal assistant previously disclosed to EGA, if applicable) uses your membership for any reason. Failure to abide by this provision is grounds for termination and revocation of your membership.

Passwords: Members may access information and sections of the EGA internet website through a username/password combination created by and for their exclusive use. You are required to maintain the confidentiality of your username/password combination and you (and your personal assistant previously disclosed to EGA) are the only person authorized to use the username/password. In the event the username/password is stolen or lost or you believe that the confidentiality of your username/password has been compromised, you shall immediately notify EGA by calling 877-591-6838 so that appropriate measures can be taken to safeguard your information and transactions.

Activation Fees and Membership Dues: The activation fee and first month’s membership dues for Elite Members are assessed and due in full upon acceptance of an application for membership, unless otherwise noted. Thereafter, membership fees are assessed monthly on the anniversary day of your membership application's acceptance and are due in full for the upcoming membership month. Payment may be made by direct debit or credit card payment from such credit card you authorize for use to conduct your transactions. EGA reserves the right to alter, amend or modify membership fee amounts, but will advise of any change thereto in its monthly newsletter or by personal email.

Termination and Suspension: EGA reserves the right in its sole and exclusive discretion to suspend, abate, cancel or terminate any membership for any reason.

Non-Refundability of Membership Fees: Activation Fees are non-refundable. EGA, however, reserves the right in its sole discretion to review the circumstances of any membership termination or cancellation and make a pro-rata or full refund of any portion of the membership fee as it deems appropriate. Such reviews and refunds are on a case-by-case basis and should not, under any circumstances, be construed as a regular or mandatory business practice by Elite.

Founding Member Rates: If you are a Founding Member, there shall be no increase in your dues.

Non-Founding Member Rates: If you are a non-Founding Member, your first annual membership fee renewal shall be at the rate you paid for your first year membership subject to any increases or changes announced in the EGA newsletter. Thereafter and for all succeeding years, your membership shall be at the then current membership fee rate.

Non-Renewal and Renewal: You may elect not to renew your membership with EGA, but must give written notice to EGA of such intention fifteen (15) calendar days before the anniversary day of your membership's acceptance. Should you fail to give notice of your intention not to renew, your membership will automatically renew for another one (1) month term. In connection therewith, EGA you authorize EGA to deduct or charge renewal membership fees on your Payment Card up to five (5) days prior to the date your membership is scheduled to renew.

Rights Upon Lapse: If your membership is allowed to lapse for more than thirty (30) days, EGA may assess another activation fee as a condition to the reinstatement of your membership.

MEMBERSHIP BENEFITS

Benefits List: As a member of EGA, you are entitled to all of the benefits set out on our website at http://www.eliteglobalaccess.com subject to the availability of said benefit (the “Benefits”). Please note that many of our services and products are provided by outside, non-EGA suppliers and vendors, who have approved the benefits descriptions applicable to their respective services or products offered by EGA.

No Guarantee Of Availability: Because EGA relies on third-party vendors, providers and suppliers, EGA does not warrant or guaranty the availability of any of the products or services offered as a Benefit of membership or the Benefits themselves. EGA reserves the right to alter, amend, modify or change the Benefits and the supplier/provider of same in its sole and exclusive discretion from time to time and without notice.

Availability: Although EGA seeks to engage only such vendors, providers and suppliers who can meet the needs of EGA's members and is always in the process of seeking out new and better Benefits for its members, there may be instances where a particular benefit, vendor or supplier becomes unavailable. When this happens, EGA will use reasonable efforts to complete your transactions and see to it that prior commitments are honored, but is not and shall not be responsible or liable for any of the actions, inactions or omissions of any vendor, supplier or provider not directly employed by EGA.

MEMBERSHIP USAGE

Methods: Upon acceptance as a member, you may place orders for services or products by telephone, electronic mail (e-mail) or through the EGA internet website.

Rendition: EGA shall provide the services and products listed on EGA's internet website which are properly ordered as soon as is practicable. Additionally, EGA shall provide concierge services at your request. “Concierge services” as defined herein shall mean personal services of a lawful and moral character in relation to personal, travel, logistical and informational needs, as well as access to events, activities and venues and personal goods and services. EGA reserves the right to refuse the rendition or provision of any service or product at any time. EGA's rendition of any service or product is subject to the legality of same in the jurisdiction where such service or product is to be rendered. In the event any service or product is or becomes available, EGA will notify you as soon as possible.

Right to Withdraw: EGA may withdraw any product or service or refuse the provision of same at any time.

Suppliers, Vendors and Providers: The suppliers, vendors and providers of the goods and services offered as part of your membership are responsible for the provision of the goods and services you order through EGA. Such suppliers, vendors and providers are not employees of EGA or under its control or direction and are without authority (whether real, apparent or otherwise) to act or speak on EGA's behalf. Representations or statements made by any supplier, vendor or provider is not and should not be construed or understood as coming from EGA. EGA will communicate and coordinate with all of the suppliers, vendors and providers on your behalf on a day-to-day basis unless you believe it is more appropriate to directly contact such supplier, vendor or provider yourself.

Separate Terms and Conditions: Because of the nature, location, timing and logistics surrounding some of the goods and services provided by the suppliers, vendors and providers, they may have separate terms or conditions applicable to their respective product or service offered. You are required to comply with such terms or conditions and failure to agree to or abide thereby are grounds for the termination of your transaction. These Terms and Conditions are not intended to be read in conflict with any term or condition imposed or required by any supplier, vendor or provider. Similarly, you should not construe any term or condition of any term or condition imposed by supplier, vendor or provider to be in derogation of or supersede any of the obligations or rights regulated herein.

Payments to Suppliers: The ordering of products or services for you by EGA may require the payment of deposits, down payments, the purchase price, fees or costs. You authorize EGA to use the credit card or direct debit information provided by you to EGA to effectuate such payments. Moreover, EGA is not and shall not be liable for any misuse by any third person of the credit card or direct debit information transmitted or used to make any payment on your behalf.

Accuracy of Information: You are responsible for provision of the information and details necessary for EGA to secure any product or service offered as part of your membership. You certify and warrant that any information provided to EGA for purpose of placing or fulfilling any request or order for purchase, reservation or booking of any service or product available as part of your membership is true and accurate. Moreover, you certify and warrant that any payment made is with your own funds or funds you are properly authorized to expend by the lawful owner thereof, that such funds were lawfully obtained and are not the gains from any illegal or criminal enterprise according to the laws of the United States, the State of Florida or the jurisdiction from which such funds originate. You also certify that you are in possession of sufficient funds to pay and cover the entire cost of the product or service purchased.

Handling Charges: From time to time, services or products offered as part of your membership may incur an EGA handling charge. In the event such a charge is incurred, you will be notified thereof. You agree that such handling charge may be charged to or deducted from your Payment Card.

Charges Incurred On Your Behalf: In the event EGA is requested or required by you to order, book, reserve or purchase services or goods on your behalf, you authorize EGA to deduct or charge the value thereof to your Payment Card within thirty (30) days of the payment due date for such good or service. For credit card transactions made on your behalf, whether made with the Payment Card or another card used at your direction, a fee equal to five percent (5%) of the amount charged will be imposed. In the event EGA is required to advance cash or transfer funds by wire on your behalf, EGA shall charge five percent (5%) of the value of such advance or transfer to the Payment Card.

Partial Performance: You may not cancel, terminate or suspend a transaction for the purchase of goods or service if the supplier, vendor or provider has partially completed the transaction or performance has begun without the express consent of such supplier, vendor or purchaser.

Calls: Telephone calls to EGA may occasionally be monitored or recorded for training and quality control reasons. You authorize the recording of such calls.

TRAVEL

Ticketing: Travel services, tickets and vacation or holiday packages purchased through EGA are and will be subject to the terms and conditions of the travel or package operator. EGA acts only as an introductory agent on behalf of the travel or tour package operator or its agent when arranging travel for you. EGA is not and shall not be responsible for any act or omission by any travel or package operator or agent; all remedies you have are exclusively against said travel or package operator or agent.

TICKETS

Procurement: EGA will always seek to procure “best tickets” for you for all sold out shows and events through its contracted ticket agent partners or itself. You acknowledge and agree that, when purchasing such tickets, you will pay an amount exceeding their face value and which may include service charges or handling fees reflecting the costs incurred and efforts expended by EGA or the ticket agent in procuring the tickets.

Sales Are Final: All ticket sales are final. EGA cannot issue refunds or accept cancellations of any order for tickets after purchase unless the event or show itself is cancelled. In such case, EGA can only guarantee a refund or return of the tickets' face value. Premiums, service charges, shipping and handling fees and costs are non-refundable.

Delivery: EGA or the ticket agent will send purchased tickets directly to you. If EGA sends your tickets, it will do so overnight Federal Express. EGA expressly disclaims any liability for the acts, inactions or omissions of Federal Express in connection with the handling, processing or delivery of your tickets and you acknowledge and agree that any remedies lie only against Federal Express.

Timing: Upon receipt or procurement, EGA will send your purchased tickets to you within two (2) business days. You acknowledge that the promoters/producers of some shows and events do not release tickets at the time of sale, which may not allow for delivery as contemplated above. In the event tickets need to be delivered to you shortly before or on the day of a show or event, EGA will dispatch a representative to make such delivery to you or at a Will-Call window at no additional cost to you.

Upgrade/Downgrade: EGA reserves the right to upgrade your tickets purchased at no additional cost to you or, alternatively, to downgrade your tickets and issue to you a partial refund of the purchase price paid for such tickets, if applicable. EGA reserves the right to cancel any order for the purchase of tickets, subject to a full refund to you. You acknowledge and agree that EGA's independent ticket partners may have similar reservation policies and you agree to abide by them.

PRODUCTS

Substitution: EGA will use its best reasonable efforts to procure the exact products you purchase or seek to purchase. There may, however, be instances where such products are or become unavailable. In such case, the supplier, vendor or producer may offer to you a substitute or replacement product. You may refuse the substitute product and receive a full refund unless such product is unique, personalized or custom-ordered or the supplier, vendor or producer advises before or at the time of sale that no refund is permitted.

Descriptions: Descriptions of products offered through EGA are approved by the supplier, vendor or producer of such products. EGA is not and shall not be responsible for the accuracy or truthfulness of any statement made concerning the product offered for sale or the image thereof posted on EGA's internet website.

Sales of Specialty Products or Services: From time to time, EGA may offer specialty or limited quantity products or services for sale. Said products and service will be clearly marked as offered by EGA in their respective descriptions.

Payment Due: The purchase price for all products and services is due for payment upon acceptance of your order by the supplier, vendor or producer or, if applicable, EGA.

Return of Products: The return of any product and/or the issuance of credit therefore is subject to the policies of the supplier, vendor or producer from whom it originates.

No Liability for Use: EGA is not and shall not be liable for any damage or injuries arising out of the use or misuse of any product purchased from or through EGA. Any claim, cause of action or right arising from the possession, use or misuse of any such product shall be brought by you exclusively against the supplier, vendor or producer of such product and/or the person whose use or misuse of the product proximately caused the damage or injury.

CREDIT CARDS

Maintenance of Information: At the time your membership is initiated, you shall complete a credit card authorization form to be maintained in EGA's files for use in connection with your transactions. Such information shall be maintained as confidential by EGA and used only for your transactions and to ensure the validity thereof.

Accuracy of Information: You acknowledge and agree that the information set out in the credit card authorization is true and complete. You authorize EGA to obtain credit references at the commencement of your membership and when necessary.

Authority to Charge: You authorize EGA to use the Payment Card information or such other credit card authorization as you designate for all transactions requested or approved by you (or your personal assistant, if applicable).

Fee: A fee equal to five percent (5%) of any purchase of products or services may be assessed by EGA for any charge made on you Payment Card or other credit card designated by you for use in connection with a transaction.

MISCELLANEOUS

Modification of Terms and Conditions: EGA reserves the right to alter, amend, modify or change these Terms and Conditions in its sole discretion. Notice of any change hereto will be transmitted to you by one (1) of the following methods: a) written notice by mail; b) notice published on the EGA internet website; c) electronic mail (e-mail) notification; or d) the EGA newsletter. Continued use of your membership constitutes acknowledgment and acceptance of any alteration, amendment, modification or change to the Terms and Conditions.

Use of Website Information: EGA is the lawful and proper owner of the information contained on its internet website. Information contained in the EGA internet website is for your personal use only and may not be used for any commercial or other purpose. The viewing and downloading of any information from the EGA internet website may only be undertaken for your own personal and private use and otherwise in accordance with these Terms and Conditions and your membership agreement. The printing, reproduction, sale, transmission, display, creation of a derivative work or publishing of any information contained on the EGA internet website is prohibited.

Links to Other Sites: The EGA internet website often includes links to the internet websites of its suppliers, vendors, providers and others. EGA expressly disclaims any knowledge of or responsibility or liability for any information or representations made on such internet websites. EGA expressly disclaims any responsibility or liability for any damages or injuries caused or allegedly cause by use of or reliance on any content, product or service furnished or offered on any such internet website.

Capacity: You represent and warrant that you have the requisite legal capacity to enter into the membership agreement and fulfill its terms as well as these Terms and Conditions.

Governing Law: The validity and effect of these Terms and Conditions shall be governed by and construed and enforced in accordance with the laws of the State of Florida, without giving effect to any conflicts-of-laws rule or principle that would give effect to the law of another jurisdiction. All disputes arising out of these Terms and Conditions shall be brought in the state or federal courts located in Broward County, Florida and the parties irrevocably agree that this shall serve as the exclusive jurisdiction and venue for hearing and resolution of such legal disputes. In the event suit is brought to enforce any right contemplated by these Terms and Conditions, the prevailing party shall be entitled to recover of its attorneys' fees in connection with such suit.

Partial Invalidity and Severability: All rights and restrictions contained herein may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary to render these Terms and Conditions legal, valid and enforceable. If any part of these Terms and Conditions not essential to the commercial purpose hereof shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining terms hereof shall constitute the Terms and Conditions and all such remaining terms shall remain in full force and effect. To the extent legally permissible, any illegal, invalid or unenforceable provision of these Terms and Conditions shall be replaced with a valid provision which will implement the commercial purpose of the illegal, invalid or unenforceable provision.

Waiver: EGA may waive any term or condition contained herein at any time. No failure by EGA to exercise, and no delay in exercising, any right, power or remedy created hereunder, shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power or remedy by EGA preclude any other future exercise of any other right, power or remedy. No waiver by EGA to any breach or default in any term or condition shall constitute a waiver of or assent to any succeeding breach or default in the same or any other term or condition hereof.

Headings: The headings as to contents of particular paragraphs and sections of these Terms and Conditions are inserted for convenience only and shall not be construed as a part of the material terms hereof or as a limitation on the scope or any terms or conditions hereof.
